I. Acceptance of Terms of Use and Other Policies

In short:

By using ZPLYS (website or app), you agree to these terms and our Privacy Policy. We may update these terms at any time — it's your responsibility to check for changes.

a. All references to “you” or “your”, as applicable, means the person that accesses, uses, and/or participates in the ZPLYS Platform in any manner (“Users”). If you use the ZPLYS Platform on behalf of an entity, you represent and warrant that you have the authority to bind that entity.

b. These terms of use (the “Terms of Use”) govern your use of our website https://zplys.ai/ (the “Website”) and our ZPLYS application for mobile and handheld devices (the “App”). The Website and the App are jointly referred to as the “ZPLYS Platform”. The ZPLYS Platform is currently owned and operated by Zplys.AI Private Limited (“ZPLYS”), a company incorporated under the Companies Act, 2013. By installing, downloading or even merely using the ZPLYS Platform, you shall be contracting with ZPLYS and you signify your acceptance to the Terms of Use and other ZPLYS policies (including but not limited to the Privacy Policy) as posted on the ZPLYS Platform from time to time. If you do not agree to the foregoing, you should not click to affirm your acceptance thereto, in which case you are prohibited from accessing or using the ZPLYS Platform.

c. ZPLYS has established a privacy policy that explains to Users how their information (“User Content”) is collected and stored (“Privacy Policy”). Your use of the ZPLYS Platform is governed by the Privacy Policy, which is located at https://zplys.ai/privacy-policy.

d. These Terms of Use and any other document incorporated by reference are subject to modifications at any time. ZPLYS reserves the right to modify or change these Terms of Use and other ZPLYS policies at any time by posting changes on the domain of https://zplys.ai/terms-conditions. You shall, at all times, be responsible for regularly reviewing the Terms of Use.

II. Use of Platform and Services

In short:

You must be 18+ to create an account. Keep your password safe. Don't misuse the platform — no hacking, spamming, defaming, or posting unlawful content.

a. Membership eligibility criteria:

You need not register with ZPLYS to simply visit and view the ZPLYS Platform, but to access and participate in certain features of the ZPLYS Platform, you will need to create a password-protected account (“Account”).
Use of the ZPLYS Platform is available only to individuals who are capable of forming legally binding contracts under applicable law. You represent that you are at least 18 years of age.
We reserve the right to suspend or terminate your Account and your access to the Services if any User Content provided proves to be inaccurate, not current or incomplete.
You are responsible for safeguarding your password. You agree that you will not disclose your password to any third party and that you will take sole responsibility for any activities or actions under your Account.

b. Use of the Platform:

You agree that your use of the ZPLYS Platform shall be strictly governed by the following binding principles:

You shall not host, display, upload, modify, publish, transmit, update or share any information which belongs to another person, is harmful, defamatory, obscene, or otherwise unlawful.
You shall not conduct any systematic or automated data collection activities on or in relation to the ZPLYS Platform without express written consent from ZPLYS.
You shall not attempt to gain unauthorized access to any portion of the ZPLYS Platform or any other systems or networks connected to the ZPLYS Platform.
You shall not probe, scan or test the vulnerability of the ZPLYS Platform or any network connected to the ZPLYS Platform.
You shall not make any negative, denigrating or defamatory statements about us or the brand name used by us including the name ‘ZPLYS’.
You agree not to use any device, software, or routine to interfere with the proper working of the ZPLYS Platform.
You may not use the ZPLYS Platform for any purpose that is unlawful or prohibited by these Terms of Use.
You shall at all times ensure full compliance with applicable provisions of the Information Technology Act, 2000 and all applicable domestic and international laws.
You agree to grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exercise the intellectual property in your Information.
We will monitor your messages and interactions on the ZPLYS Platform. We reserve the right to disclose any information as necessary to satisfy any law, regulation or valid governmental request.
We reserve the right to remove or edit any content that violates any applicable law or these Terms of Use.

III. Terms of Service

In short:

ZPLYS connects you with third-party service providers but doesn't endorse or guarantee their offerings. All payments go through secure payment gateways.

You acknowledge that ZPLYS facilitates the hosting of products, services, events and arenas which are offered by third party providers (“Service Provider”) and ZPLYS does not make any warranties regarding quality, does not endorse any specific product or service, and does not assume liability for Service Provider offerings.
You might be required to provide your credit or debit card details to the approved payment gateways while making the payment. You shall not use the credit/debit card which is not lawfully owned by you.
The ZPLYS Platform is not equipped or authorized to conclude any financial transaction. All payments shall be made through the payment gateway.
We do not endorse any Service Provider.
You agree not to attempt to impose liability on, or seek any legal remedy from us with respect to any actions or omissions of the Service Provider.

IV. General Terms of Use

In short:

Payments are non-refundable. Keep your login credentials confidential. You're responsible for your device and agree to receive communications from ZPLYS.

Payments made through the ZPLYS Platform will not be refunded for any reason including for not purchasing or availing any products, services, events or arenas.
Information provided by the ZPLYS Platform shall be updated on a regular basis subject to the same being provided to us by the Service Provider.
If you choose to use the ZPLYS Platform, it shall be your responsibility to treat your User identification code, password and any other piece of information as confidential.
The ZPLYS Platform can be used to procure or avail products, services, events or arenas within select cities in India.
You shall at all times be responsible for the use of the Services through your computer or mobile device.
You understand and agree that the use of the Services does not include the provision of a computer or mobile device or other necessary equipment to access it.
You agree and grant permission to ZPLYS to receive promotional/transactional SMS and e-mails from ZPLYS or allied partners.
You agree to release and fully indemnify ZPLYS from any cost, damage, liability or other consequence of any of the actions of the Users of the ZPLYS Platform.
ZPLYS cannot take responsibility or control the information provided by other Users which is made available on the ZPLYS Platform.

V. Access to the Platform, Accuracy and Security

In short:

We aim for 24/7 availability but can't guarantee uninterrupted or error-free access. We may suspend access at any time without notice.

We endeavour to make the ZPLYS Platform available 24/7. However, we do not represent that access will be uninterrupted, timely, error-free, free of viruses or other harmful components.
We do not warrant that the ZPLYS Platform will be compatible with all hardware and software which you may use.
We do not represent or warranty that the information available on the ZPLYS Platform will be correct, accurate, or otherwise reliable.
We reserve the right to suspend or withdraw access to the ZPLYS Platform temporarily or permanently at any time without notice.

VI. Relationship with Operators

In short:

ZPLYS is not affiliated with Apple, Google, or other app store operators. Your agreement is with ZPLYS, not the app store. We handle all support and claims.

In the event the ZPLYS Platform is accessed on a mobile device, it is not associated, affiliated, sponsored, endorsed or in any way linked to any operator (Apple, Google, Android, or RIM Blackberry).
Your download, installation, access to, or use of the ZPLYS Platform is also bound by the terms and conditions of the Operator.
These Terms of Use are concluded between you and us only, and not with an Operator.
The license granted to you is limited to a non-transferable license to use the ZPLYS Platform on a mobile device that you own or control.
We are solely responsible for providing any maintenance and support services with respect to the ZPLYS Platform.
We, not the relevant Operator, are responsible for addressing any claims relating to the ZPLYS Platform.
In the event of any third party intellectual property infringement claim, we will be solely responsible for investigation, defence, settlement, and discharge.
The relevant Operator and its subsidiaries are third-party beneficiaries of these Terms of Use.

VII. Disclaimers

In short:

The platform is provided 'as is' without warranties. We're not liable for third-party services, content inaccuracies, or unauthorized card use. Standard legal protections still apply.

The ZPLYS Platform may be under constant upgrades, and some functions and features may not be fully operational.
Due to the electronic distribution of information, there may be delays, omissions, or inaccuracies in the content.
We expressly disclaim all liabilities arising from unauthorized use of credit/debit cards.
You acknowledge that third-party services are available on the ZPLYS Platform. We do not represent or warrant their services.
We do not make any representations regarding the legal title, creditworthiness, or identity of any Users.
The materials on the ZPLYS Platform are provided “as is” without any guarantees or warranties.
We are not liable for losses or injuries arising from activities facilitated through the platform.
We are not responsible for any damages resulting from third-party services accessed through the ZPLYS Platform.
Nothing in this disclaimer limits ZPLYS's liability in cases of death or personal injury caused by negligence, fraud, or matters which cannot legally be excluded.
These Terms of Use do not constitute advice of any kind.

VIII. Breach of Terms

In short:

If you violate these terms, we can terminate your account immediately. You agree to cover any losses caused by your breach. Some clauses survive even after termination.

ZPLYS has the right to delete, terminate, or deactivate your Account, block your email or IP address, or cancel your access to the ZPLYS Platform immediately and without notice for any reason.
You hereby indemnify and undertake to keep ZPLYS indemnified against any losses, damages, costs, liabilities, and expenses arising out of any breach by you of these Terms of Use.
Effect of Termination: Upon termination of your Account, your right to participate in the ZPLYS Platform shall automatically terminate. ZPLYS will notify you via email of any such termination. Upon Termination, you shall promptly destroy all copies of ZPLYS data. Clauses regarding Termination, Intellectual Property, Dispute Resolution, Disclaimers, Limitations of liability, and Indemnification will survive termination.

IX. Intellectual Property

In short:

All content on ZPLYS is our intellectual property. You can print pages for personal use but cannot redistribute, republish, or use them commercially without permission.

We are either the owner of intellectual property rights or have the non-exclusive, worldwide, perpetual, irrevocable, royalty-free right to exercise the intellectual property in the ZPLYS Platform.
You may print off one copy and may download extracts of any page(s) for your personal reference.
You must not redistribute any material from the ZPLYS Platform unless expressly made available for redistribution.
You must not republish material from the ZPLYS Platform on any other print or digital media platform.
You must not modify or edit any materials you have printed off or downloaded.
You must not use any part of the materials for commercial purposes without obtaining a license from us.
If you breach these Terms, your right to use the ZPLYS Platform will cease immediately.

X. Treatment of User Content

In short:

Your content is handled according to our Privacy Policy.

We process User Content in accordance with our Privacy Policy available at https://zplys.ai/privacy-policy.

XI. Third-Party Content

In short:

We can't guarantee other users follow these terms. External links leave our platform and have their own policies.

We cannot and will not assure that other Users are or will be complying with these Terms of Use, and you hereby assume all risk of harm or injury resulting from any such lack of compliance.
You acknowledge that when you access a link that leaves the ZPLYS Platform, the site you will enter into is not controlled by us and different terms of use and privacy policy may apply.

XII. Severability

In short:

If any part of these terms is found invalid, the rest still applies.

If any of these Terms of Use should be determined to be illegal, invalid or otherwise unenforceable, then to the extent and within the jurisdiction where that term is illegal, invalid or unenforceable, it shall be severed and deleted and the remaining Terms of Use shall survive and remain in full force and effect.

XIII. Assignment

In short:

ZPLYS can transfer its obligations to another entity. You cannot transfer yours.

ZPLYS may, at its sole discretion, at any time, assign or transfer its obligations under these Terms of Use to any other person or entity. However, you shall not assign or transfer your obligations under these Terms of Use to any other entity or person.

XIV. Governing Law and Dispute Resolution

In short:

Indian law applies. Disputes are handled in the courts of Jaipur, India.

These Terms of Use are governed by the laws of India. Any action, suit, or other legal proceeding shall be subject to the jurisdiction of the courts at Jaipur, India.
